1. Acceptance of Terms
By accessing or using the Othello platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
We reserve the right to modify these Terms at any time. Your continued use of the Service following any changes constitutes acceptance of those changes.
2. Eligibility
To use our Service, you must be at least 18 years old and have the legal capacity to enter into a binding agreement. Business users must ensure they have the authority to bind their organization to these Terms and comply with all applicable laws and regulations in their jurisdiction.
3. Service Description
Othello provides non-custodial cryptocurrency payment processing infrastructure. Our Service enables businesses to:
- Receive cryptocurrency payments through dedicated deposit addresses
- Monitor incoming deposits via blockchain indexing
- Configure automated sweep strategies to transfer funds to treasury wallets
- Access transaction data through our API
As a non-custodial service, we do not hold, control, or have access to your private keys or funds at any time. Deposit addresses are derived from your own seed phrase and treasury wallet configuration.
4. Account Registration
You must register for an account to access the Service. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
5. Cryptocurrency Transactions
You acknowledge that:
- Cryptocurrency transactions are irreversible once confirmed on the blockchain
- You are solely responsible for ensuring the accuracy of all wallet addresses and transaction details
- Cryptocurrency values are highly volatile and can result in significant financial losses
- Network congestion, gas price fluctuations, and blockchain reorganizations may affect transaction processing
- We are not responsible for losses resulting from incorrect wallet addresses, network delays, or blockchain-related issues beyond our control
6. Fees and Payments
We charge fees for certain services as disclosed on our platform. All fees are non-refundable unless otherwise stated. We reserve the right to change our fee structure with reasonable notice.
You are responsible for any applicable taxes. Network fees (gas fees) are separate from our service fees and are determined by the respective blockchain networks.
7. API Usage
Access to our API is governed by these Terms and any applicable API documentation. You agree to:
- Use API keys securely and not share them with unauthorized parties
- Respect rate limits and usage guidelines
- Not use the API to build competing services without our written consent
- Include proper HMAC authentication for all API requests
8. Prohibited Activities
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Engage in money laundering, fraud, or terrorist financing
- Attempt to circumvent any security measures or access controls
- Interfere with or disrupt the Service or its infrastructure
- Use automated systems to access the Service without permission
- Impersonate any person or entity
- Reverse engineer, decompile, or disassemble any part of the Service
9. Intellectual Property
The Service and its original content, features, and functionality are owned by Othello and are protected by international copyright, trademark, and other intellectual property laws. The smart contract code and ABIs provided through the Service are licensed for use with the Service only.
10. Limitation of Liability
To the maximum extent permitted by law, Othello shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, data, or cryptocurrency
- Losses due to blockchain reorganizations or network failures
- Losses due to smart contract vulnerabilities
- Losses due to incorrect wallet configurations
- Any damages arising from the non-custodial nature of the Service
Our total liability shall not exceed the amount of fees paid by you to us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Othello, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.
12. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. You retain access to your funds through your own wallet and private keys at all times, as the Service is non-custodial.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada, without regard to conflict of law principles.
